Terms of Service

Last updated October 23, 2026 (version 2026-10-23.2).

These Terms of Service (the "Terms") are a binding agreement between Ablon Group, LLC, doing business as InsulEngine ("InsulEngine", "we", "us"), and the company or other entity that signs up for or uses the Service ("Customer", "you"). The person who accepts these Terms confirms that they have authority to bind that entity. If you do not agree to these Terms, do not use the Service.

1. The Service

InsulEngine is an online tool that reads construction drawings and specifications and produces draft insulation takeoffs, quantities, pricing and related documents (the "Service"). We improve the Service continually and may change it. If we remove a feature that is material to a paid plan you have already paid for, Section 12 applies.

2. The Service is an estimating aid, not a professional service

Everything the Service produces is a draft for your review. Takeoffs, quantities, sizes, insulation requirements, prices, labor, proposals and any other output (together, "Output") are generated automatically, in part by artificial intelligence, and may be incomplete or wrong. Drawings and specifications are often ambiguous, and the Service may misread, miss or double-count items. In particular:

3. Accounts

You must give accurate information when you sign up and keep it current. You are responsible for your users, for keeping passwords and invitations secure, and for all activity in your account. Tell us promptly at info@insulengine.com if you believe your account has been accessed without permission.

4. Trials, plans, fees and cancellation

Free trial. A trial lasts the time and includes the allowances shown when you sign up (currently seven days and five project takeoffs). We do not take a payment card for a trial, and a trial never converts into a paid plan or charges you automatically; a paid plan starts only when you buy one. When it ends, your account becomes read-only for at least 30 days: you can still open and export everything, but cannot run new takeoffs until you choose a paid plan. A trial is provided as is, for evaluation, and we may change or end trial offers.

Paid plans. You can buy a paid plan in the Service, or agree one with us on an order or invoice (an "Order"). The plan you choose when you buy, or the Order, states the price, the billing period (for example monthly or annual) and any usage allowances, such as the number of project takeoffs or seats, and any charge for use beyond them. Unless your plan says otherwise, allowances apply per billing period and unused allowances do not carry over. Fees are exclusive of taxes, which you pay.

Payment. When you buy a plan in the Service, you authorize us, through our third-party payment processor, to charge the payment method you give us for each billing period in advance, including each renewal and any charge for use beyond your allowances. We do not store full card numbers. Keep your payment details current. If a charge fails we may try it again, and if it is still unpaid 15 days after we tell you, we may suspend the Service until it is paid. An Order is paid as it states, and the same suspension applies to amounts more than 15 days overdue after we tell you.

Automatic renewal. A paid plan renews automatically at the end of each billing period for another period of the same length, and is charged at the start of each renewal, until you cancel. A billing period starts on the day of your first payment and renews on the same day each period. Renewal is at the plan's then-current price; we will tell you of a price change at least 30 days before the renewal it applies to, so you can cancel before it takes effect.

Cancelling. You may cancel at any time by emailing info@insulengine.com from an administrator address on your account. To avoid the next charge, your email must reach us before the renewal date. We will confirm the cancellation by email. Cancellation stops the next renewal; it takes effect at the end of the billing period you have paid for, and you keep access until then. An Order is cancelled as it states, or otherwise the same way. Fees already paid are not refunded, except as Section 12 or the law provides.

Changing plans. An upgrade takes effect when you make it, and any difference in price for the rest of the current period is charged as shown at the time. A downgrade takes effect at the next renewal.

5. Your data

Drawings, specifications, addenda, prices and other material you upload or enter in the Service ("Customer Data") remain yours. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display Customer Data and Output as needed to provide, secure and support the Service for you, including automated processing by our service providers (such as cloud hosting and AI model providers) acting on our behalf. We handle Customer Data as described in our Privacy page. We do not show your Customer Data or Output to other customers, and we do not sell it.

AI models. We do not use Customer Data or Output to train AI models. We send it to AI model providers only to produce and check your Output, under their business terms, which do not allow them to train their models on it. Those providers may keep it for a limited time, generally up to 30 days, to complete long-running requests and to monitor for abuse, and then delete it.

Improving the Service. We may use Customer Data and Output to test, evaluate and improve the accuracy of the Service, for example by re-running a takeoff to check a correction or by measuring how a change affects past results. Our staff open your projects only through an audited support session with a recorded reason. We may also use aggregated information about how the Service is used, which does not identify you or reveal your drawings or prices.

You represent that you have all rights needed to upload Customer Data and to let us process it, and that doing so does not violate any contract, confidentiality obligation or law.

6. Output: what you may do with it

As between you and us, you own the Output generated for you, and we assign to you any rights we have in it. You may keep, modify, copy and use it for any lawful purpose, including in bids and proposals you share with your clients, general contractors and others, during your plan and after it ends. Output that you export stays yours to use after cancellation.

This does not give you any right in the Service itself, or in our software, models, prompts, rules, price-book and template formats, and other technology used to produce Output, which remain ours (Section 8). Output may resemble output the Service produces for others; we do not assign rights in material that is not specific to you, such as standard wording, layouts and general insulation data.

7. Acceptable use

You will not, and will not let anyone else: copy, resell or provide the Service to third parties except as part of your own estimating work; reverse engineer, scrape or try to extract the Service's source code, models or prompts; use the Service to build a competing product; interfere with or overload the Service, or get around its security, usage limits or access controls; upload anything unlawful, infringing or harmful, including malware; or use the Service in violation of any law.

8. Our property

The Service, including its software, models, prompts, rules, designs, documentation and everything we develop, is owned by us and our licensors and is protected by intellectual property laws. During your plan or trial we give you a limited, non-transferable right to use the Service for your business. If you send us suggestions or feedback, we may use them freely without obligation to you.

9. Confidentiality

Each party will protect the other's non-public business information that it receives through the Service, including your Customer Data, with reasonable care, and use it only for the purposes of these Terms. This does not apply to information that is public, was already known, is independently developed or is received lawfully from someone else, and it does not stop disclosure that the law requires.

10. Disclaimer of warranties

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. To the fullest extent permitted by law, we disclaim all warranties, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness and quiet enjoyment, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, timely, secure or error-free, that Output will be accurate or complete, or that any error will be corrected.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

12. Term, suspension and termination

These Terms apply from when you first accept them or use the Service until your account ends.

After your account ends. For 30 days you can still sign in to view and export your Customer Data and Output; ask us if you need longer. After that we may delete them. You may ask us to delete them sooner by emailing info@insulengine.com; we will do so within 30 days, except copies in backups, which are overwritten in the ordinary course, and anything the law requires us to keep. While we keep any of it, Sections 5 and 9 continue to apply to it, and we use it only to keep those copies, comply with law or resolve disputes. Your rights in Output you have exported continue (Section 6). Sections 2, 5, 6 and 9 through 16 survive termination.

13. Indemnification

By you. You will defend InsulEngine and its affiliates, members, managers, officers, employees and agents against any claim, demand or proceeding brought by a third party, and pay the resulting damages, settlements, costs and reasonable attorneys' fees, to the extent it arises from: (a) Customer Data, including a claim that it infringes someone's rights or that you were not allowed to upload it; (b) your use of the Service in breach of these Terms or the law; or (c) any bid, proposal, contract, purchase or work you undertake, including a claim by your client or a general contractor about your price or scope. You do not have to indemnify us to the extent a claim is caused by our breach of these Terms, our negligence or our willful misconduct.

How it works. We will (a) tell you promptly in writing about the claim (a delay only reduces your obligation to the extent it harms you), (b) let you control the defense and settlement, and (c) give reasonable cooperation at your expense. We may take part with our own counsel at our own cost. You may not settle a claim in a way that admits fault on our behalf or imposes any obligation on us without our written consent, which we will not unreasonably withhold.

14. Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in the State of Delaware, and each party consents to their jurisdiction and venue. To the extent permitted by law: each party waives any right to a jury trial; claims may be brought only on an individual basis, not as a plaintiff or class member in any class, consolidated or representative action; and any claim must be brought within one (1) year after it arises, or it is barred. Either party may seek injunctive relief in any court to protect its intellectual property or confidential information. Nothing in this section takes away a right that the law does not allow to be waived.

15. Changes to these Terms

We may update these Terms. For a material change we will tell you directly, by email to an administrator on your account or in the Service, at least 30 days before it takes effect, unless a shorter time is needed for a legal or security reason. Where appropriate we will ask you to accept the updated Terms in the Service before you continue. Each version is dated and numbered above, and we keep a record of which version each user accepted and when. A change does not apply to a dispute that arose before it took effect.

16. General

These Terms, together with the plan you buy in the Service or any Order, are the entire agreement between the parties about the Service and replace any prior agreements on that subject; if an Order signed by both parties conflicts with these Terms, the Order controls for that plan. Terms in your purchase orders or other documents do not apply. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the rest of these Terms remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them, including in a merger or sale of our business. Neither party is liable for delays or failures caused by events beyond its reasonable control (other than payment obligations). The parties are independent contractors. Notices to us go to info@insulengine.com; notices to you may be sent to the email address of an administrator on your account.
